Welcome to NEOD! These Terms of Use ("Terms") govern your access to and use of NEOD’s AI-powered productivity assistant ("Service") through WhatsApp and other supported platforms. By accessing or using NEOD, you agree to comply with these Terms.

If you do not agree with these Terms, you should not use the Service.

1. Overview of the Service

NEOD provides an AI-powered productivity assistant that integrates with messaging platforms (such as WhatsApp) to help users manage tasks, reminders, calendar events, emails, and other productivity-related functions.

2. Eligibility

To use NEOD, you must:

  • Have the legal capacity to enter into this agreement.

  • Use the Service only in compliance with applicable laws and these Terms.

If you are using NEOD on behalf of a company, you confirm that you have the authority to bind that company to these Terms.

3. Account and User Responsibilities

3.1. Registration & Access

  • NEOD does not require traditional account registration. Instead, access is linked to your WhatsApp number or other supported platforms.

  • You are responsible for maintaining the security of your WhatsApp account and any devices used to access NEOD.

3.2. User Conduct

By using NEOD, you agree not to:

  • Use the Service for illegal, fraudulent, or harmful activities.

  • Attempt to hack, reverse-engineer, or manipulate NEOD’s AI assistant.

  • Send spam, abusive, or offensive messages to NEOD or other users.

Failure to comply may result in immediate suspension or termination of your access to NEOD.

4. Pricing and Payment

NEOD operates under a freemium model, meaning:

  • Basic features (such as reminders and task management) are free.

  • Premium features (such as API integrations and advanced AI capabilities) may require a subscription or one-time payments.

Payment terms:

  • Subscription fees are charged upfront and may be billed on a monthly, quarterly, or annual basis.

  • Payments are processed via third-party providers, and we do not store your financial details.

  • All purchases are non-refundable, except as required by law.

5. Privacy and Data Use

Your use of NEOD is subject to our Privacy Policy, which explains how we collect, use, and store your data. By using the Service, you consent to the processing of your data as described in our Privacy Policy.

6. Service Availability & Modifications

We aim to keep NEOD running 24/7, but we do not guarantee uninterrupted service.

  • We may modify, suspend, or discontinue parts or all of NEOD’s services at any time, with or without notice.

  • We are not responsible for downtime, bugs, or system errors caused by third-party integrations (such as WhatsApp, Notion, Google Calendar, etc.).

7. Third-Party Services & Integrations

NEOD may integrate with third-party services (e.g., Google Calendar, Notion, email providers).

  • These services operate independently under their own terms and privacy policies.

  • NEOD is not responsible for third-party actions, data breaches, or outages.

Your use of these integrations is at your own risk.

8. Termination

We reserve the right to suspend or terminate your access to NEOD if:

  • You violate these Terms or engage in misconduct.

  • You misuse the Service in a way that harms NEOD or other users.

  • We are required to do so by legal or regulatory authorities.

You may stop using NEOD at any time by ceasing communication with the assistant.

9. Disclaimer & Limitation of Liability

9.1. No Warranties

NEOD is provided "as is" and "as available", without warranties of any kind. We do not guarantee:

  • That NEOD will always function without errors or interruptions.

  • That information provided by the AI assistant is 100% accurate, complete, or reliable.

  • That NEOD will meet your specific needs.

9.2. Limitation of Liability

To the extent permitted by law, NEOD is not liable for:

  • Any indirect, incidental, or consequential damages arising from your use of the Service.

  • Data loss, security breaches, or unauthorized access to your information.

  • Errors or failures caused by third-party integrations or WhatsApp itself.

Maximum Liability: If NEOD is found liable for any claims, our total liability is limited to the amount you paid (if any) for NEOD’s services in the last 12 months.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Spain.

  • Before taking legal action, we encourage you to contact us first to resolve any issues informally.

11. Changes to These Terms

We may update these Terms periodically. If changes are significant, we will notify users via WhatsApp or our website. Continued use of NEOD after an update constitutes acceptance of the new Terms.
